Please read these Terms and Conditions carefully before using the Tessara website or engaging our consulting services. By accessing this website or entering into a consulting engagement with Tessara Co., Ltd., you agree to be bound by these terms. If you do not agree, please do not use our services.

By submitting an inquiry, signing an engagement proposal, or using our website, you confirm that you are at least 18 years of age and have the legal capacity to enter into a binding agreement. Organizations must confirm that the individual agreeing to these terms is authorized to do so on behalf of the organization.

Tessara provides advisory consulting services in Thailand. Services are described in detail on our website and confirmed through individual engagement proposals. Tessara's role is advisory — we produce analysis, reports, and recommendations. Implementation responsibility remains with the client organization.

Service availability is subject to current capacity. Tessara reserves the right to decline engagements at its discretion.

4. Engagement Terms

4.1 Scope and Proposals

Each engagement begins with a written proposal confirming scope, timeline, deliverables, and pricing. Work commences only after the proposal is confirmed in writing by both parties. Any changes to scope require written agreement.

4.2 Client Responsibilities

Clients agree to provide accurate information relevant to the engagement, make appropriate team members available for scheduled sessions, and review and provide feedback on drafts within agreed timeframes. Delays caused by client unavailability may affect timelines at no liability to Tessara.

4.3 Confidentiality

Tessara treats all client information with strict confidentiality. Where requested, we will execute a separate non-disclosure agreement prior to substantive engagement discussions. This obligation survives the termination of any engagement.

5. Payment Terms

5.1 Cancellation and Refunds

Cancellation of an engagement by the client more than 14 days before commencement: deposit refundable at Tessara's discretion. Cancellation within 14 days of commencement or after work has begun: fees for completed work phases are non-refundable. Tessara may cancel an engagement in cases of material breach by the client, with pro-rata refund for undelivered work.

6. Intellectual Property

Deliverables produced during an engagement become the property of the client upon receipt of full payment, with the exception of Tessara's proprietary frameworks, templates, and analytical tools, which remain Tessara's intellectual property. Clients may use deliverables internally but may not redistribute or commercialize them without written permission.

Website content — including text, structure, and design — is the intellectual property of Tessara and may not be reproduced without permission.

Tessara's services are provided on an advisory basis. We do not make representations or provide assurances regarding the outcomes of implementing recommendations. Results depend on a range of factors within the client organization's control.

This website is provided "as is." While we maintain it with reasonable care, we do not warrant that it will be free of errors or uninterrupted.

9. Limitation of Liability

To the fullest extent permitted by Thai law, Tessara's liability in connection with any engagement or website use is limited to the fees paid for the specific engagement giving rise to the claim. We are not liable for indirect, consequential, or incidental losses arising from reliance on our advice.

10. Indemnification

You agree to indemnify Tessara against claims, losses, or expenses arising from your misuse of our services, website, or materials, or from your breach of these terms.

11. Termination

Either party may terminate an engagement by written notice in the event of material breach by the other party, subject to a 14-day cure period. Tessara may suspend services if payment is materially overdue. Obligations of confidentiality and intellectual property survive termination.

12. Dispute Resolution

These Terms are governed by the laws of Thailand. In the event of a dispute, parties agree to first attempt informal resolution through good-faith discussion. If unresolved after 30 days, disputes shall be referred to the jurisdiction of the courts of Bangkok, Thailand.
